The address of MyJoVE\u2019s Designated Agent to Receive Notification of Claimed Infringement (\u201cDesignated Agent\u201d) is provided at the bottom of this section.<\/p><p>4.2\u2003MyJoVE Policy<\/p><p>Our policy is to (a) block access to or remove material that it believes in good faith to be copyrighted material that has been illegally copied and distributed by any of our advertisers, affiliates, content providers, members or other users; and (b) remove and discontinue Service to repeat offenders.<\/p><p>4.3\u2003Procedure for Reporting Copyright Infringements<\/p><p>If you believe that material or content residing on or accessible through the Web Site or the Services infringes a copyright, please send a notice of copyright infringement containing the following information to the Designated Agent listed below (\u201cProper Bona Fide Infringement Notification\u201d):<\/p><p style=\"padding-left: 40px;\">(a) A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright that has been allegedly infringed;<br \/>(b) Identification of works or materials being infringed;<br \/>(c) Identification of the material that is claimed to be infringing including information regarding the location of the infringing materials that the copyright owner seeks to have removed, with sufficient detail so that MyJoVE is capable of finding and verifying its existence;<br \/>(d) Contact information about the notifier including address, telephone number and, if available, email address;<br \/>(e) A statement that the notifier has a good faith belief that the material is not authorized by the copyright owner, its agent, or the law; and<br \/>(f) A statement made under penalty of perjury that the information provided is accurate and the notifying party is authorized to make the complaint on behalf of the copyright owner.<\/p><p>4.4\u2003Upon Receipt of a Bona Fide Infringement Notification<\/p><p>Once a Proper Bona Fide Infringement Notification is received by the Designated Agent, it is MyJoVE\u2019s policy:<\/p><p style=\"padding-left: 40px;\">(a) to remove or disable access to the infringing material;<br \/>(b) to notify the content provider, member or user that it has removed or disabled access to the material; and<br \/>(c)for repeat offenders, to terminate such content provider\u2019s, member\u2019s or user\u2019s access to the Service.<\/p><p>4.5\u2003Procedure to Supply a Counter-Notice to the Designated Agent<\/p><p>If the content provider, member or user believes that the material that was removed or to which access was disabled is either not infringing, or the content provider, member or user believes that it has the right to post and use such material from the copyright owner, the copyright owner\u2019s agent, or pursuant to the law, the content provider, member or user must send a counter-notice containing the following information to the Designated Agent listed below:<\/p><p style=\"padding-left: 40px;\">(a) A physical or electronic signature of the content provider, member or user;<br \/>(b) Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or disabled;<br \/>(c) A statement that the content provider, member or user has a good faith belief that the material was removed or disabled as a result of mistake or a misidentification of the material; and<br \/>(d) The content provider\u2019s, member\u2019s or user\u2019s name, address, telephone number, and, if available, email address and a statement that such person or entity consents to the jurisdiction of the Federal Court for the judicial district in which the content provider\u2019s, member\u2019s or user\u2019s address is located, or if the content provider\u2019s, member\u2019s or user\u2019s address is located outside the United States, for any judicial district in which MyJoVE is located, and that such person or entity will accept service of process from the person who provided notification of the alleged infringement.<\/p><p>4.6\u2003Removal<\/p><p>If a counter-notice is received by the Designated Agent, MyJoVE may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed material or cease disabling it in ten (10) business days. YOU AGREE THAT ALL DISPUTES BETWEEN YOU AND US (WHETHER OR NOT SUCH DISPUTE INVOLVES A THIRD PARTY) WITH REGARD TO YOUR RELATIONSHIP WITH US, INCLUDING WITHOUT LIMITATION DISPUTES RELATED TO THIS AGREEMENT, YOUR USE OF THE SERVICES, AND\/OR RIGHTS OF PRIVACY AND\/OR PUBLICITY, WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION UNDER THE AMERICAN ARBITRATION ASSOCIATION\u2019S RULES FOR ARBITRATION OF CONSUMER-RELATED DISPUTES AND YOU AND WE HEREBY EXPRESSLY WAIVE TRIAL BY JURY. Neither you nor we will participate in a class action or class-wide arbitration for any claims covered by this Agreement to arbitrate. YOU ARE WAIVING THE ABILITY TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER ON ANY CLASS CLAIM YOU MAY HAVE AGAINST US INCLUDING ANY RIGHT TO CLASS ARBITRATION OR ANY CONSOLIDATION OF INDIVIDUAL ARBITRATIONS. You also agree not to participate in claims brought in a private attorney general or representative capacity, or consolidated claims involving another person\u2019s account, if we are a party to the proceeding. This dispute resolution provision will be governed by the Federal Arbitration Act and not by any state law concerning arbitration. Judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction. Any provision of applicable law notwithstanding, the arbitrator will not have authority to award damages, remedies or awards that conflict with these Terms of Service.<\/p><p>8.4\u2003Entire Agreement<\/p><p>8.5\u2003This Agreement and any supplemental terms, policies, rules and guidelines posted through the Services, including the Privacy Policy, constitute the entire agreement between you and us and supersede all previous written or oral agreements. The failure of MyJoVE to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.<\/p><p>8.6\u2003Headings<\/p><p>The headings of the sections of this Agreement are for convenience only, do not form a part hereof, and in no way limit, define, describe, modify, interpret or construe the meaning, scope or intent of this Agreement or any terms or conditions therein.<\/p><p>8.6\u2003Assignment<\/p><p>We may assign this contract at any time, including without limitation, to any parent, subsidiary, or any affiliated company, or as part of the sale to, merger with, or other transfer of our company to another entity.
