Legitimate Power

Legitimate power is the ability to influence decisions because others recognize a person’s or institution’s authority as valid, typically through a formal role, mandate, or governance structure. In finance, it operates when stakeholders accept that executives, boards, regulators, or designated managers have the right to allocate resources, approve transactions, set policies, or require reporting; compliance therefore rests on recognized authority rather than personal persuasion or coercion. Understanding legitimate power helps analyze corporate governance, accountability, financial controls, and investor relationships, while clarifying how authority is granted, exercised, challenged, and constrained within financial institutions and markets.
