Shareholder Manager Conflict

Shareholder-manager conflict is a corporate governance problem in which owners seek to maximize firm value while managers may pursue goals such as private benefits, job security, or growth. It arises from the principal-agent relationship: shareholders delegate decision-making, but limited information and imperfect monitoring can allow managers to act differently from owners’ interests, creating agency costs. Microeconomic analysis examines how contracts, performance-based compensation, board oversight, shareholder voting, and takeover threats can align incentives and reduce this conflict. Understanding these mechanisms helps explain managerial behavior, resource allocation, firm performance, and the design of institutions that improve accountability in modern corporations.
