Souscription

Underwriting is important in raising long-term capital for businesses, particularly when issuing new stocks or bonds.

Underwriters assess the company’s financial health, help determine the price of securities, and manage the sale process.

Underwriters often purchase securities directly from the issuer under an agreement, assuming the risk of unsold securities. For large offerings, they may collaborate with other institutions in a syndicate to distribute shares and minimize risk.

Major underwriters in the United States include institutions like Goldman Sachs, Morgan Stanley, and JPMorgan Chase.

A common example of underwriting occurs during an Initial Public Offering or IPO. When a company goes public, the underwriter sets a share price based on analysis and market demand and then sells the shares to institutional and retail investors.

This ensures the company secures the capital needed for expansion. For investors, underwriting provides credibility and instills trust in the securities being offered.

Overall, underwriting plays a key role in helping businesses raise funds and reduce financial risks, making it easier to secure long-term capital.
