Share Dilution

Share dilution is the reduction in an existing shareholder’s ownership percentage when a company increases the number of shares outstanding, making it an important consideration in equity finance. It occurs when a business issues new common stock, or when instruments such as stock options, warrants, or convertible securities become shares; unless an investor buys additional shares, their proportional voting power and claim on earnings decline. Dilution can reduce earnings per share and influence valuation, but raising equity may also provide capital for expansion, research, acquisitions, or debt reduction. Investors and analysts therefore assess potential dilution when evaluating financing decisions and long-term shareholder returns.
