Dilutive Offering

A dilutive offering is a financing transaction in which a company issues additional shares or securities that can become common stock, reducing existing shareholders’ proportional ownership. By increasing the number of shares outstanding, the offering can lower ownership percentage and potentially reduce earnings per share, although the company receives capital in return. Businesses use dilutive offerings to fund expansion, research and development, acquisitions, debt repayment, or working capital without taking on additional borrowing. Investors and analysts assess the trade-off between immediate ownership dilution and the potential long-term value created by deploying the new capital.
