The investment bank underwrites the securities, agreeing to purchase and resell them to the public, assuming some risk.
Next, Beta Corp and the investment bank prepare a registration statement to file with the Securities and Exchange Commission, providing detailed information about the corporation’s financials and the securities offered.
Once the statement is approved, a preliminary prospectus, often called a red herring, is distributed to potential investors. This prospectus excludes pricing details.
Then, they begin the roadshow, a series of presentations to attract investors and generate interest in the offering.
