Value Dilution

Value dilution is the reduction in an existing investor’s ownership percentage, voting influence, or claim on a company’s earnings when additional equity is issued. It occurs because new shares expand the total share count, spreading ownership and metrics such as earnings per share across a larger base; the effect depends on the price and purpose of the issuance, as well as the returns generated by the new capital. In finance, analyzing value dilution helps investors assess stock offerings, employee option plans, convertible securities, and acquisitions, distinguishing funding that may support long-term growth from transactions that transfer economic value away from current shareholders.
