Material Nonpublic Information

Material Nonpublic Information (MNPI) is confidential information about a company, security, or transaction that could influence a reasonable investor’s decision but has not been broadly released to the public. Its significance depends on whether the information could affect a security’s price, while its nonpublic status persists until adequate public dissemination gives the market a fair opportunity to assess it. In finance, possessing or sharing MNPI can create insider-trading and tipping risks when securities are bought, sold, or recommended on its basis. Compliance programs therefore use information barriers, restricted lists, employee training, disclosure controls, and transaction surveillance to protect market integrity.
