Firm Commitment Underwriting

Firm commitment underwriting is an arrangement in which an investment bank or underwriting syndicate purchases an entire securities issue from an issuer and resells it to investors, helping provide certainty during capital raising. The underwriter pays the issuer an agreed price, typically below the public offering price, and assumes the risk that some securities may remain unsold or must be sold at a lower price. This method is commonly used for initial public offerings, corporate bonds, and other public offerings because it transfers distribution risk from the issuer to the underwriter while supporting a defined amount of financing.
